How Vertara collects, uses and protects your personal information

This Privacy Policy sets out our commitment to protecting the privacy of personal information provided to us, or otherwise collected by us, whether offline or online, including through our website (Site).

In this Privacy Policy, we, us or our means Vertara Corporation Pty Ltd (ACN 692 374 191) and its related entities (together, Vertara or the Vertara group). The Vertara group includes, without limitation:

  • Vertara Capital Pty Ltd (ACN 692 506 693);
  • Vertara Management Pty Ltd (ACN 692 507 314);
  • Vertara Development Management Pty Ltd (ACN 692 506 880);
  • Vertara Holdings Pty Ltd (ACN 692 507 145);
  • Vertara West End Holdings Pty Ltd (ACN 701 027 438); and
  • Vertara West End Pty Ltd (ACN 701 027 401),

together with any other entity within the Vertara group and the trustee, manager, and other entities of the investment funds and trusts that Vertara establishes or operates from time to time.

Vertara is a property development and funds management business. In the course of our business we collect personal information from a range of people, including visitors to our Site, prospective and current investors in our funds, our contractors, suppliers and business partners, and people who apply to work with us.

We are bound by the Australian Privacy Principles (APPs) contained in the Privacy Act 1988 (Cth) (Privacy Act). This Privacy Policy explains how we collect, hold, use and disclose your personal information, and how you can access and correct it or make a complaint. By providing personal information to us, or by using our Site, you consent to us handling your personal information in accordance with this Privacy Policy.

1. What is personal information?

Personal information is information or an opinion about an identified individual, or an individual who is reasonably identifiable, whether the information or opinion is true or not and whether it is recorded in a material form or not. Where this Privacy Policy refers to personal information, it includes sensitive information (a subset of personal information that is given a higher level of protection under the APPs), except where we say otherwise.

2. The personal information we collect

The types of personal information we may collect about you include:

  • your name and, where relevant, the name of any entity you represent;
  • your contact details, including email address, mailing address, street address and telephone number;
  • your demographic information, such as postcode and occupation;
  • for investors and prospective investors: information required to assess your eligibility as a wholesale client or sophisticated investor, identity verification and "know your customer" (KYC) information, anti-money laundering and counter-terrorism financing (AML/CTF) information, tax file numbers (TFNs) and tax residency information, financial and investment information, source of funds information, and bank account details;
  • details of the products and services we have provided to you, or that you have enquired about, and our response to you;
  • information you provide to us through applications, questionnaires, surveys or other correspondence;
  • your browser session and geo-location data, device and network information, statistics on page views and sessions, acquisition sources, search queries and browsing behaviour;
  • information about your access to and use of our Site, including through internet cookies, the type of browser and operating system you use, and the domain name of your internet service provider;
  • if you apply for a role with us: information contained in your application, such as your work history, qualifications, references and other information relevant to your application; and
  • any other personal information requested by us or provided by you or a third party.

If you do not provide us with the personal information we request, we may not be able to provide you with our products or services, process your investment, or respond to your enquiry.

3. How we collect your personal information

We collect personal information in a number of ways, including:

  • directly from you, when you contact or correspond with us, complete an application or form, invest in one of our funds, attend a meeting or event, or otherwise interact with us;
  • through your use of our Site and associated applications and social media platforms; and
  • from third parties, such as your representatives, advisers and agents, our service providers, identity verification and background-checking providers, credit and information bureaus, and publicly available sources.

Where it is reasonable and practicable to do so, we will collect your personal information directly from you. Where we collect personal information about you from a third party, we will take reasonable steps to ensure that you are made aware of the matters set out in this Privacy Policy.

4. Our Site, cookies and analytics

Cookies. We may use cookies on our Site from time to time. Cookies are text files placed in your device's browser to store your preferences. Cookies, by themselves, do not tell us your email address or other personally identifiable information, but they may allow third parties, such as Google, to cause our advertisements to appear on your social media and online media feeds as part of our marketing campaigns. If and when you choose to provide our Site with personal information, this information may be linked to the data stored in a cookie. You can disable cookies through your browser settings, although this may affect the functionality of our Site.

Analytics and click-stream data. We may collect statistical information about your visit to help us improve our Site, such as the number of visitors, page views, IP addresses and browsing paths. We may use analytics tools such as Google Analytics, which may store data outside Australia (see section 8).

Web beacons. We may use web beacons (also known as clear GIFs) on our Site from time to time. Web beacons are small pieces of code placed on a web page to monitor visitor behaviour and collect aggregate data, for example to count the users who visit a page or to deliver a cookie.

Links to other websites. Our Site may contain links to other websites. We do not control those websites and are not responsible for the protection and privacy of any personal information you provide while visiting them. Those websites are not governed by this Privacy Policy.

5. Why we collect, hold, use and disclose personal information

We may collect, hold, use and disclose personal information for the following purposes:

  • to enable you to access and use our Site and associated applications and platforms;
  • to contact and communicate with you and respond to your enquiries;
  • to assess your eligibility to invest, and to establish, administer and manage your investment in our funds, including issuing and registering loan notes and units, processing applications, transfers and redemptions, and paying interest and distributions;
  • to verify your identity and to meet our obligations under the AML/CTF, taxation and corporations laws (including wholesale/sophisticated investor verification, KYC, FATCA/CRS and TFN reporting obligations);
  • for internal record keeping, administrative, reporting, accounting, billing and auditing purposes;
  • for analytics, market research and business development, including to operate and improve our Site, products and services;
  • for advertising and marketing, including to send you information about our products, services, funds and opportunities, and information about third parties we consider may be of interest to you;
  • to comply with our legal and regulatory obligations and to resolve any disputes that we may have; and
  • to consider and process any application you make for employment or engagement with us.

We may also use or disclose your personal information for a secondary purpose that is related to a purpose above (or, in the case of sensitive information, directly related), where you would reasonably expect us to, where you have consented, or where we are otherwise permitted or required to do so by law.

6. Direct marketing

We may send you direct marketing communications and information about our products, services and funds that we consider may be of interest to you. These communications may be sent in various forms, including email, and will be in accordance with the Privacy Act and the Spam Act 2003 (Cth). You may opt out of receiving marketing communications from us at any time by contacting us using the details below, or by using the unsubscribe facility provided in the communication.

7. Disclosure of personal information to third parties

We may disclose personal information to:

  • our employees, contractors and related entities within the Vertara group;
  • the trustees, managers, custodians, administrators, registry providers (such as our unit and note registry provider), auditors, valuers and other service providers of our funds;
  • third party service providers who assist us to operate our business, including IT and cloud service providers, data storage, web-hosting and server providers, identity verification and AML/CTF providers, marketing and advertising providers, and professional advisers such as lawyers and accountants;
  • our existing or potential agents, business partners, financial advisers or co-investors, and any person acting on your behalf;
  • any person to whom our business or assets (or any part of them) are, or may in good faith be, transferred;
  • courts, tribunals, regulatory authorities (such as ASIC, AUSTRAC and the Australian Taxation Office) and law enforcement officers, as required or authorised by law, or in connection with any actual or prospective legal proceedings, or to establish, exercise or defend our legal rights; and
  • any other person with your consent.

We do not sell your personal information to third parties for their own marketing purposes.

8. Disclosure of personal information overseas

Some of the third parties described above may be located, or may store data, outside Australia. For example, our IT, cloud storage and analytics providers may store data overseas, and we work with offshore fabrication and supply partners in connection with our developments. The countries in which such recipients are located will depend on the circumstances, but may include the United States and countries in Asia and Europe.

Where we disclose personal information to overseas recipients, we will take steps that are reasonable in the circumstances to ensure that the recipient handles your personal information consistently with the APPs, unless an exception under the Privacy Act applies. By providing your personal information to us, you acknowledge that some overseas recipients may not be subject to laws that provide the same level of protection as Australian privacy laws, and that we may not be able to ensure that those recipients comply with Australian privacy laws.

9. Sensitive information

Sensitive information is a subset of personal information that is given a higher level of protection under the APPs. It includes information about your racial or ethnic origin, political opinions or memberships, religious or philosophical beliefs, trade union or professional association memberships, sexual orientation or practices, criminal record, and health or biometric information.

We do not generally collect sensitive information. Where we do need to collect sensitive information, we will only do so with your consent or where we are otherwise permitted or required to do so by law, and we will only use and disclose it for the purpose for which it was provided (or a directly related purpose), or as otherwise permitted by law.

10. Government-related identifiers and tax file numbers

If you invest with us, you may choose to provide your tax file number (TFN), Australian Business Number (ABN) or exemption. It is not compulsory to provide your TFN or ABN, and it is not an offence if you decline to do so; however, if you do not, we may be required to withhold tax from payments to you at the highest marginal rate. We handle TFNs in accordance with the Privacy Act and the taxation laws, and we do not use or disclose government-related identifiers except as permitted by law.

11. Security of your personal information

We are committed to ensuring that the personal information we collect is secure. We have put in place physical, electronic and managerial procedures designed to safeguard and secure personal information and to protect it from misuse, interference and loss, and from unauthorised access, modification and disclosure.

While we take reasonable steps to protect your personal information, we cannot guarantee the security of any information transmitted to or by us over the internet. The transmission and exchange of information is carried out at your own risk. When we no longer require your personal information, and we are not required by law to retain it, we will take reasonable steps to destroy or de-identify it.

12. Notifiable data breaches

If we become aware of a data breach that is likely to result in serious harm to any individual whose personal information is involved, we will respond in accordance with the Notifiable Data Breaches scheme in Part IIIC of the Privacy Act. This may include notifying affected individuals and the Office of the Australian Information Commissioner (OAIC).

13. Accessing and correcting your personal information

Access. You may request access to the personal information we hold about you by contacting us using the details below. We will respond within a reasonable period. In certain circumstances set out in the Privacy Act, we may decline to provide access, in which case we will give you written reasons. An administrative fee may apply to cover the reasonable cost of providing access.

Correction. If you believe that any information we hold about you is inaccurate, out of date, incomplete, irrelevant or misleading, please contact us. We will take reasonable steps to correct the information so that it is accurate, up to date, complete, relevant and not misleading.

14. Retention of personal information

We retain personal information only for as long as it is needed for the purposes described in this Privacy Policy, or for as long as we are required to retain it to comply with our legal and regulatory obligations (including under the Corporations Act, AML/CTF laws and taxation laws). When personal information is no longer required and we are not otherwise obliged to keep it, we will take reasonable steps to destroy or de-identify it.

15. Your rights and controlling your personal information

Choice and consent. By providing personal information to us, you consent to us collecting, holding, using and disclosing it in accordance with this Privacy Policy. You do not have to provide personal information to us; however, if you do not, it may affect your use of our Site or your ability to invest in, or receive services from, us.

Anonymity. Where it is lawful and practicable to do so, you have the option of dealing with us anonymously or by using a pseudonym. However, for most of our dealings, including investment-related dealings where we have identity verification obligations, we will require your name and contact information.

Information from third parties. If you provide us with personal information about another person, you represent and warrant that you have that person's consent to provide their personal information to us and to have it handled in accordance with this Privacy Policy.

Restrict and unsubscribe. You may choose to restrict the collection or use of your personal information, and you may opt out of marketing communications at any time by contacting us or using the unsubscribe facility in the relevant communication.

16. Complaints

If you believe that we have breached the Australian Privacy Principles or otherwise mishandled your personal information, and you wish to make a complaint, please contact us using the details below and provide full details of the alleged breach. We will promptly investigate your complaint and respond to you in writing, setting out the outcome of our investigation and the steps we will take in response.

If you are not satisfied with our response, you may refer your complaint to the Office of the Australian Information Commissioner (OAIC) by visiting www.oaic.gov.au, by calling 1300 363 992, or by writing to GPO Box 5288, Sydney NSW 2001.

17. Changes to this Privacy Policy

We may, at any time and at our discretion, vary this Privacy Policy by publishing the amended Privacy Policy on our Site. We recommend that you check our Site regularly to ensure you are aware of our current Privacy Policy. This Privacy Policy was last updated on the date shown at the top of this page.
